By accessing or using Praxis Engine (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Praxis Engine and its affiliates ("we," "us," "our").

Praxis Engine is an AI-powered business simulation and decision training platform. The Service is currently in active development. Features, functionality, and availability may change at any time without prior notice. Nothing on our website or within the Service constitutes business, financial, investment, or legal advice.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. User Accounts

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or parameters of the Service; (c) use automated tools to scrape, crawl, or otherwise extract data from the Service; (d) interfere with or disrupt the integrity or performance of the Service; (e) impersonate any person or entity; or (f) use the Service to develop competing products or services.

6. Intellectual Property

All content, software, models, algorithms, economic engines, simulation parameters, and materials provided through the Service are the exclusive property of Praxis Engine and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7. User Content

You retain ownership of any content you submit to the Service (e.g., strategic decisions, text inputs). By submitting content, you grant us a non-exclusive, worldwide license to use, process, and store such content solely for the purpose of operating and improving the Service. We may use anonymized, aggregated data derived from user interactions for research and product development.

8. AI-Generated Outputs

The Service uses artificial intelligence to generate coaching responses, persona interactions, simulation results, and analytical outputs. These outputs are for informational and educational purposes only and should not be relied upon as professional business, financial, or legal advice. AI outputs may contain errors or inaccuracies. You are solely responsible for any decisions made based on the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Praxis Engine and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of the Service. Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Praxis Engine from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or the Service shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Shanghai.
